2. Prices & Taxes
All wholesale (retailer) prices are exclusive of VAT, customs duties, and any other applicable taxes.
Manufacturer’s Suggested Retail Prices (MSRP) are gross prices.
The Buyer is solely responsible for:
VAT settlement
Customs clearance
Import duties and related costs in the destination country.
3. Incoterms & Shipping
Incoterms: EX WORKS (EXW).
Risk and responsibility transfer to the Buyer upon collection from the Seller’s premises.
Shipping costs are charged separately and are payable by the Buyer.
Customs clearance and related expenses are entirely borne by the Buyer.
4. Payment Terms
100% advance payment plus shipping costs is required at the time of order placement.
Orders become official and binding only after receipt of the advance payment in the Seller’s bank account.
All advance payments are non-refundable.
5. Minimum Order & Starter Package
There is no mandatory minimum order value for our retailer partners.
A starter package (Capsule Collection) is strongly recommended as a commercial minimum:
1 show jacket (any model, full size assortment)
2 show shirts:
1 long-sleeved
1 short-sleeved
(Models freely selectable, full size assortment recommended.)
There is a mandatory minimum EUR 5000 order value for our Distributor partners who gets exclusive territorial rights to distribute our Brand based on our individual agreements.
6. Order Processing & Delivery
Upon receipt of advance payment:
The order becomes officially confirmed.
The Buyer receives an estimated delivery date.
An official invoice for the advance payment is sent by email.
After receipt of full payment:
Goods are dispatched by Cavalliera International.
Two copies of the final invoice are issued:
One enclosed in the shipment
One sent by email
Delivery takes place within the communicated two-week delivery window, subject to logistics availability.
7. Warranty & Claims
Products are covered by warranty in accordance with applicable EU legislation.
Any quality or defect claims must be reported in writing within a reasonable timeframe after receipt.
Valid claims are resolved, at Cavalliera International’s discretion, by replacement of the defective product (subject to availability) or by issuance of a credit note applicable to a future purchase.
Cash refunds are excluded, except where mandatory statutory rights under applicable law require otherwise.
8. Returns
Returns for unsold stock are not accepted.
Only defective items may be subject to claim, in line with Section 10.
9. Delays & Liability
Delivery dates are estimates only and non-binding.
Cavalliera International shall not be held liable for delays caused by logistics providers, customs procedures, force majeure events, or circumstances beyond its reasonable control.
No liability is accepted for indirect or consequential damages, to the maximum extent permitted by applicable law.
10. Sales Channels & Brand Protection
Sale of the Products via third-party online marketplaces (including but not limited to Amazon, Zalando, or similar platforms) is not permitted, in order to preserve brand image, quality standards, and controlled brand presentation.
Online sales are permitted only through the Buyer’s own webshop or physical retail channels.
These restrictions apply uniformly to all authorized retailers and distributors.
Destocking via discount platforms, flash sales, or third-party resale channels is not permitted without prior written consent of Cavalliera International.
Official brand images, descriptions, and marketing materials are provided regularly to support promotion.
Brand assets must be used exclusively in accordance with Cavalliera brand guidelines.
11. Confidentiality
All price lists, commercial terms, and documents are strictly confidential.
Disclosure to third parties is prohibited without prior written consent.
12. Governing Law & Jurisdiction
These Terms & Conditions are governed by Hungarian law, with mandatory provisions of European Union law applied where applicable.
Any disputes shall fall under the exclusive jurisdiction of the competent courts of Hungary.
